END USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Eccounting 101 LLC for the use of Eccounting 101 eCommerce analytics platform (the "Software") accompanying this EULA, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively the "Software Product"). By accessing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not access, copy, or use the Software Product.

In some cases we may use cookies to collect personal information, or that becomes personal information if we combine it with other information.

  • 1. GRANT OF LICENSE. Eccounting 101 LLC grants you a limited, non-exclusive, non-transferable license to access and use the Software Product, solely for the purpose of analyzing eCommerce data, subject to the terms and conditions of this EULA.
  • 2. RESTRICTIONS. You may not copy, modify, distribute, sell, transfer, sublicense, or otherwise make available the Software Product to any third party. You may not reverse engineer, decompile, or disassemble the Software Product or attempt to gain unauthorized access to any portion of the Software Product. You may not remove or alter any copyright, trademark, or other proprietary notices from the Software Product.
  • 3. OWNERSHIP. The Software Product and all intellectual property rights therein, including without limitation copyrights, trademarks, and trade secrets, are and shall remain the property of Eccounting 101 LLC. Your license confers no title or ownership in the Software Product and is not a sale of any rights in the Software Product.
  • 4. DISCLAIMER OF WARRANTY. THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ECCOUNTING 101 LLC DOES NOT WARRANT THAT THE SOFTWARE PRODUCT WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE PRODUCT WILL BE UNINTERRUPTED OR ERROR-FREE.
  • 5. LIMITATION OF LIABILITY. ECCOUNTING 101 LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF ECCOUNTING 101 LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • 6. TERMINATION. This EULA is effective until terminated. You may terminate this EULA at any time by discontinuing use of the Software Product. Eccounting 101 LLC may terminate this EULA immediately without notice if you fail to comply with any of the terms and conditions of this EULA. Upon termination, you shall cease all use of the Software Product and destroy all copies of the Software Product in your possession.
  • 7. GOVERNING LAW. This EULA shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
  • 8. ENTIRE AGREEMENT. This EULA constitutes the entire agreement between you and Eccounting 101 LLC regarding the use of the Software Product and supersedes all prior agreements and understandings, whether written or oral, regarding such use. This EULA may only be modified by a written amendment signed by both you and Eccounting 101 LLC.

By accessing, copying, or otherwise using the Software Product, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions.
